These Terms and Conditions ("Terms") govern your access to and use of the freyai platform, including all associated websites, applications, APIs, and services (collectively, the "Service") operated by Dronician Tech (ABN 26 602 075 636) ("freyai", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Overview
freyai is a private document intelligence platform that enables users to upload, search, annotate, and analyse documents using a combination of keyword search, semantic search, and AI-assisted research tools. The Service is designed for professionals in legal, financial, consulting, research, and related industries.
These Terms form a legally binding agreement between you and freyai. They should be read together with our Privacy Policy, which explains how we collect, use, and protect your personal information.
Definitions
In these Terms, the following words have the meanings set out below:
- "Account" means a registered user account on the Service.
- "AI Features" means any functionality within the Service that uses artificial intelligence or machine learning models to process, analyse, summarise, tag, extract information from, or generate responses based on User Content, including the AI Chat, auto-tagging, semantic search, and Datasheet features.
- "AI Output" means any text, data, analysis, summaries, tags, extracted entities, or other information generated by the AI Features in response to or derived from User Content.
- "Authorised Users" means individuals authorised by an Organisation Subscriber to access the Service under the Organisation's subscription.
- "Datasheet" means a structured analysis template within the Service where AI-generated or user-entered findings are organised into cells with source attribution.
- "Organisation Subscriber" means a legal entity (company, partnership, trust, or other body) that subscribes to the Service for use by its members, employees, or contractors.
- "Subscription Plan" means the tier of service selected by the Subscriber (Explorer, Researcher, or Professional), as described on the pricing page.
- "User Content" means all documents, files, text, images, annotations, highlights, notes, and other materials uploaded to or created within the Service by you or your Authorised Users.
- "you", "your", "Subscriber" means the individual or Organisation Subscriber accessing or using the Service.
Eligibility & Accounts
3.1 Age requirement
You must be at least 18 years of age to create an account or use the Service. By registering, you represent and warrant that you meet this requirement.
3.2 Authority
If you are accepting these Terms on behalf of an Organisation Subscriber, you represent and warrant that you have the authority to bind that organisation to these Terms. The organisation becomes the Subscriber and is responsible for all use of the Service by its Authorised Users.
3.3 Account registration
You must provide accurate, current, and complete information when creating your Account. You agree to promptly update this information if it changes. We reserve the right to suspend or terminate Accounts that contain false or misleading registration information.
3.4 Account security
You are responsible for maintaining the confidentiality of your login credentials. You agree to use a strong, unique password and to notify us immediately at [email protected] if you suspect any unauthorised access to your Account. You are responsible for all activity that occurs under your Account.
3.5 One account per user
Each individual may maintain only one Account. You may not share your Account credentials with any other person, nor permit another person to access the Service using your credentials.
The Service
4.1 Description
The Service provides a cloud-based document workspace with the following core capabilities:
- Secure document upload, storage, and management
- Full-text keyword search and semantic (AI-powered) search across uploaded documents
- Multi-colour highlight annotations with anchored notes linked to specific pages and passages
- AI-assisted chat that answers questions grounded in your uploaded documents, with source citations
- Automatic metadata extraction, keyword tagging, and document classification
- Structured analysis templates (Datasheets) for organising findings with AI assistance
- Projects and Collections for organising documents by deal, client, case, or research stream
4.2 Beta status
The Service is currently in private beta. Features, functionality, interfaces, and availability may change without notice during the beta period. We do not guarantee that any specific feature will remain available or operate in the same manner as it does today.
4.3 Modifications to the Service
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will use reasonable efforts to notify you of material changes that affect your use of the Service.
Subscriptions & Billing
5.1 Subscription Plans
The Service is offered under tiered Subscription Plans (currently Explorer, Researcher, and Professional). Each plan includes specific document limits, feature access, and processing capabilities as described on our pricing page. The Explorer plan is free; paid plans require payment of the applicable fees.
5.2 Billing cycle
Paid subscriptions are billed either monthly or annually, as selected at the time of purchase. Annual subscriptions are billed as a single upfront payment for the twelve-month period.
5.3 Payment
All fees are quoted and charged in Australian Dollars (AUD) and are inclusive of GST where applicable. We use third-party payment processors (such as Stripe) to handle payment transactions. By providing payment information, you authorise us to charge the applicable fees to your nominated payment method.
5.4 Automatic renewal
Paid subscriptions renew automatically at the end of each billing cycle unless you cancel before the renewal date. We will notify you at least 14 days before any renewal. You may cancel auto-renewal at any time from your Account settings.
5.5 Price changes
We may change our fees from time to time. Any price increase will take effect at your next renewal period. We will provide at least 30 days' notice of any price increase via email to the address associated with your Account.
5.6 Refunds
Monthly subscriptions are non-refundable. For annual subscriptions cancelled within the first 14 days, we will provide a pro-rata refund for the unused portion of the subscription. This does not affect your rights under the Australian Consumer Law (see Section 14).
5.7 Taxes
If you are an Australian resident, GST at the prevailing rate is included in the stated price. If you are located outside Australia, you are responsible for any applicable local taxes, duties, or levies.
Your Content & Data
6.1 Ownership
You retain all ownership rights in your User Content. Nothing in these Terms transfers ownership of your documents, annotations, notes, or any other User Content to freyai.
6.2 Licence to us
By uploading User Content to the Service, you grant freyai a limited, non-exclusive, royalty-free, worldwide licence to store, process, index, search, display, and analyse your User Content solely for the purpose of providing and improving the Service to you. This licence terminates when you delete the relevant content or close your Account, subject to reasonable backup and deletion timelines.
6.3 No training on your data
6.4 Your responsibilities
You are solely responsible for:
- The legality, accuracy, and appropriateness of all User Content you upload
- Ensuring you have all necessary rights, licences, and permissions to upload and process User Content through the Service, including any third-party intellectual property or confidential information
- Complying with any confidentiality, privacy, or professional obligations that apply to your User Content
- Maintaining your own backups of User Content
6.5 Data portability
You may export your User Content (including annotations and notes) at any time through the Service's export functionality. Upon termination of your Account, you will have a period of 30 days to export your data before it is permanently deleted.
6.6 Deletion
When you delete User Content or close your Account, we will delete the relevant data from our active systems within 30 days. Residual copies may persist in encrypted backups for up to 90 days, after which they are permanently destroyed.
AI Features & Outputs
7.1 Nature of AI Outputs
The AI Features generate responses, summaries, extractions, tags, and analysis based on your User Content using artificial intelligence models. While we strive for accuracy and provide source citations, AI Outputs are generated by machine learning systems and may contain errors, inaccuracies, omissions, or hallucinations.
7.2 No guarantee of accuracy
We do not warrant or guarantee the accuracy, completeness, reliability, or fitness for any particular purpose of any AI Output. AI models may interpret documents incorrectly, miss relevant information, or produce outputs that appear plausible but are factually incorrect.
7.3 Your responsibility
You are solely responsible for reviewing, verifying, and validating any AI Output before using it in any professional, commercial, or personal context. Any reliance on AI Outputs is at your own risk.
7.4 Ownership of AI Outputs
As between you and freyai, you own the AI Outputs generated from your User Content, subject to the following: (a) AI Outputs may not be unique — the same or similar outputs may be generated for other users who upload similar content; and (b) underlying AI models, algorithms, and system prompts remain our intellectual property.
7.5 Source attribution
Where the AI Features provide source citations (such as page numbers or document references), these are generated algorithmically and should be verified against the original documents. Citation accuracy is not guaranteed.
Intellectual Property
8.1 Our IP
The Service, including all software, code, algorithms, AI models, interfaces, designs, text, graphics, logos, trademarks, and documentation, is owned by or licensed to freyai and is protected by Australian and international intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except the limited right to use it in accordance with these Terms.
8.2 Licence to you
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your internal business or personal research purposes during the term of your subscription.
8.3 Restrictions
You may not:
- Copy, modify, adapt, translate, or create derivative works of the Service or any part thereof
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying models of the Service
- Rent, lease, lend, sell, sublicence, or otherwise transfer access to the Service to any third party
- Use the Service to develop a competing product or service
- Remove, alter, or obscure any proprietary notices, labels, or marks on the Service
- Use automated tools (bots, scrapers, crawlers) to access, extract data from, or interact with the Service, except through our published APIs
8.4 Feedback
If you provide us with feedback, suggestions, or ideas about the Service ("Feedback"), you grant us an unrestricted, irrevocable, perpetual, royalty-free licence to use, modify, and incorporate that Feedback into the Service without any obligation to you.
Acceptable Use
9.1 Permitted use
You may use the Service only for lawful purposes and in accordance with these Terms. The Service is intended for professional document research, analysis, and management.
9.2 Prohibited conduct
You agree not to:
- Upload, store, or process any content that is unlawful, defamatory, obscene, hateful, threatening, or that infringes any third party's intellectual property or privacy rights
- Upload content that contains malware, viruses, or other harmful code
- Use the Service to facilitate fraud, money laundering, terrorism financing, or any other criminal activity
- Attempt to gain unauthorised access to the Service, other users' accounts, or any related systems or networks
- Interfere with or disrupt the Service, its servers, or its infrastructure
- Use the Service in any way that could damage, disable, overburden, or impair its functionality
- Circumvent any technical limitations, rate limits, or access restrictions imposed by the Service
- Use the Service to send unsolicited messages or spam
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
- Use the Service to generate or disseminate misinformation, disinformation, or deceptive content
- Use the AI Features to produce content that is harmful, discriminatory, or that promotes violence
9.3 Enforcement
We reserve the right to investigate any suspected breach of these Terms and to take appropriate action, including suspending or terminating your Account, removing content, and reporting illegal activity to law enforcement authorities.
9.4 Volume and fair use
Each Subscription Plan includes defined document upload limits. We reserve the right to enforce fair use limits on API calls, AI queries, and processing volume. If your usage significantly exceeds normal patterns, we may contact you to discuss upgrading your plan or adjusting your usage.
Privacy & Data Protection
10.1 Privacy Policy
Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you consent to the practices described in the Privacy Policy.
10.2 Australian Privacy Act
We comply with the Australian Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs). If you are an Australian resident, your personal information is handled in accordance with these requirements.
10.3 Data hosting
User Content and personal information may be stored on servers located in Australia and, where necessary, in other jurisdictions through our cloud infrastructure providers. Where data is transferred outside Australia, we take reasonable steps to ensure it is protected to a standard substantially similar to the APPs.
10.4 Confidentiality
We understand that User Content may include confidential, privileged, or commercially sensitive information. We maintain strict access controls and do not access your User Content except as necessary to provide the Service, respond to support requests, comply with legal obligations, or enforce these Terms.
10.5 International users
If you are located in the European Economic Area (EEA) or the United Kingdom, your use of the Service may involve the transfer of personal data outside the EEA/UK. By using the Service, you acknowledge and consent to such transfers. If you require a Data Processing Agreement (DPA), please contact us at [email protected].
Security & Data Breach Notification
11.1 Security measures
We implement reasonable and appropriate technical and organisational security measures to protect User Content and personal information against unauthorised access, loss, destruction, or alteration. These measures include encryption in transit and at rest, access controls, and regular security reviews.
11.2 No absolute guarantee
While we take security seriously, no method of electronic storage or transmission is completely secure. We cannot guarantee absolute security and are not liable for any unauthorised access that occurs despite our reasonable security measures.
11.3 Breach notification
In the event of a data breach that is likely to result in serious harm to affected individuals, we will notify the Office of the Australian Information Commissioner (OAIC) and affected individuals in accordance with the Notifiable Data Breaches (NDB) scheme under Part IIIC of the Privacy Act 1988 (Cth). We will also notify you of any breach affecting your User Content as soon as reasonably practicable.
Third-Party Services
12.1 Third-party integrations
The Service may integrate with or rely on third-party services, including cloud hosting providers, AI model providers, payment processors, and authentication services. Your use of such third-party services is subject to their own terms and privacy policies.
12.2 AI model providers
The AI Features utilise third-party large language model (LLM) providers to process queries against your User Content. When using AI Features, relevant portions of your User Content may be transmitted to these providers for processing. We select providers that commit to not retaining or training on customer data, and we take contractual and technical steps to protect your information, but we cannot guarantee the practices of third-party providers.
12.3 No endorsement
References to or integrations with third-party services do not constitute an endorsement, warranty, or recommendation by freyai. We are not responsible for the availability, accuracy, or practices of any third-party service.
Availability & Support
13.1 Availability
We aim to make the Service available 24 hours a day, 7 days a week, but do not guarantee uninterrupted, error-free, or continuous access. The Service may be temporarily unavailable due to scheduled maintenance, updates, system failures, or circumstances beyond our control.
13.2 Support
Support is available via the in-app ticket system and at [email protected]. Response times depend on your Subscription Plan. Priority Support subscribers receive expedited response times.
13.3 Service levels
We do not offer formal Service Level Agreements (SLAs) at this time. If SLAs become available in future, they will be documented separately and incorporated by reference.
Australian Consumer Law
14.1 Consumer guarantees
If the Australian Consumer Law applies to your use of the Service, our services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the Service, you are entitled to cancel your subscription and receive a refund for the unused portion, or to compensation for its reduced value. You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure, you are entitled to have problems with the Service rectified in a reasonable time.
14.2 Limitation of remedies
To the extent permitted by the Australian Consumer Law, where we are liable for a failure to comply with a consumer guarantee that cannot be excluded but can be limited, our liability is limited to (at our election): (a) supplying the services again; or (b) paying the cost of having the services supplied again.
14.3 Unfair contract terms
We have endeavoured to ensure that these Terms do not contain terms that would be considered "unfair" within the meaning of Part 2-3 of the Australian Consumer Law. If any term is found to be unfair, it is void and will not apply to you, and we will endeavour to replace it with a fair term that achieves the same commercial objective to the extent possible.
Disclaimers & Warranties
15.1 "As is" basis
Subject to Section 14 (Australian Consumer Law), the Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
15.2 Specific disclaimers
Without limiting the above, we do not warrant that:
- The Service will meet your specific requirements or expectations
- The Service will be uninterrupted, timely, secure, or error-free
- AI Outputs will be accurate, complete, reliable, or free from hallucination
- Any errors or defects in the Service will be corrected within a specific timeframe
- The Service will be compatible with all hardware, software, or network environments
- The results obtained from using the Service will be suitable for any particular legal, financial, regulatory, or professional purpose
15.3 Professional advice disclaimer
The Service and its AI Features are tools to assist with document research and analysis. They are not a substitute for professional legal, financial, accounting, tax, medical, or other professional advice. You should always consult a qualified professional before making decisions based on information obtained through the Service.
Limitation of Liability
16.1 Exclusion of consequential loss
To the maximum extent permitted by law and subject to Section 14, freyai will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, business, goodwill, or anticipated savings, arising out of or in connection with these Terms or your use of the Service, regardless of the cause of action or the theory of liability (including contract, tort, negligence, or otherwise), even if we have been advised of the possibility of such damages.
16.2 Cap on liability
Subject to Section 14, our total aggregate liability to you for any and all claims arising out of or in connection with these Terms or the Service is limited to the greater of: (a) the total fees paid by you to freyai in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) AUD $100.
16.3 Essential basis
You acknowledge that the fees charged for the Service reflect the allocation of risk set out in these Terms, including the limitations and exclusions of liability. These limitations are an essential part of the agreement between us and would not be offered at the current pricing without them.
16.4 Exceptions
Nothing in these Terms limits or excludes liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be limited or excluded by law, including under the Australian Consumer Law; or (d) freyai's wilful misconduct or gross negligence.
Indemnification
You agree to indemnify, defend, and hold harmless freyai and its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Service or any activity under your Account
- User Content that you upload, store, or process through the Service, including any claim that your User Content infringes a third party's intellectual property, privacy, or other rights
- Your breach of these Terms or any applicable law or regulation
- Your reliance on or use of AI Outputs in any professional, commercial, or personal context
- Any dispute between you and a third party relating to your use of the Service
This indemnification obligation survives the termination of these Terms and your Account.
Termination
18.1 Termination by you
You may cancel your subscription and close your Account at any time from your Account settings. If you cancel a paid subscription, your access to paid features will continue until the end of your current billing period. No refund is provided for the remainder of a monthly billing period. For annual subscriptions cancelled within 14 days, see Section 5.6.
18.2 Termination by us
We may suspend or terminate your Account immediately, with or without notice, if:
- You breach these Terms (including the Acceptable Use policy)
- Your use of the Service poses a security risk or may cause harm to the Service or other users
- We are required to do so by law, regulation, or court order
- Your Account has been inactive for more than 12 consecutive months (for free plan accounts)
- We reasonably believe your Account is being used fraudulently or for unlawful purposes
18.3 Effect of termination
Upon termination:
- Your right to access and use the Service immediately ceases (unless a wind-down period is provided)
- You have 30 days from the date of termination to export your User Content
- After the 30-day export period, your User Content will be permanently deleted in accordance with Section 6.6
- Any outstanding fees owed to freyai become immediately due and payable
18.4 Survival
The following sections survive termination of these Terms: Sections 6.1 (Ownership), 7 (AI Features), 8 (Intellectual Property), 14 (Australian Consumer Law), 15 (Disclaimers), 16 (Limitation of Liability), 17 (Indemnification), 19 (Dispute Resolution), and 21 (General Provisions).
Dispute Resolution
19.1 Governing law
These Terms are governed by and construed in accordance with the laws of the State of Queensland, Australia, without regard to its conflict of laws principles.
19.2 Informal resolution
Before initiating any formal dispute resolution, you agree to first contact us at [email protected] and attempt to resolve the dispute informally. We will endeavour to respond within 14 business days. Both parties agree to negotiate in good faith for a period of at least 30 days before pursuing further action.
19.3 Mediation
If the dispute is not resolved through informal negotiation, either party may refer the dispute to mediation administered by the Resolution Institute (or its successor body) in Brisbane, Queensland. The costs of mediation will be shared equally unless the mediator directs otherwise.
19.4 Jurisdiction
If the dispute is not resolved through mediation, each party submits to the exclusive jurisdiction of the courts of Queensland, Australia, and any courts of appeal therefrom. Nothing in this section limits freyai's right to seek injunctive or equitable relief in any court of competent jurisdiction.
19.5 Class action waiver
To the extent permitted by law, you agree that any dispute will be resolved on an individual basis and not as part of any class, consolidated, or representative action.
Changes to These Terms
20.1 Right to modify
We may update or modify these Terms from time to time to reflect changes in the Service, legal requirements, or business practices.
20.2 Notice
For material changes, we will provide at least 30 days' notice via email to the address associated with your Account and/or by posting a prominent notice within the Service. Non-material changes (such as formatting corrections or clarifications that do not alter your rights or obligations) may take effect immediately upon posting.
20.3 Acceptance
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must stop using the Service and may cancel your subscription in accordance with Section 18.1.
20.4 Version history
We will maintain a record of previous versions of these Terms and make them available on request.
General Provisions
21.1 Entire agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and freyai with respect to the Service, and supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral.
21.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be severed and the remaining provisions will continue in full force and effect.
21.3 Waiver
Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by freyai.
21.4 Assignment
You may not assign, transfer, or sublicence your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of our assets, provided the assignee agrees to be bound by these Terms.
21.5 Force majeure
We will not be liable for any failure or delay in performing our obligations under these Terms where that failure or delay is caused by events beyond our reasonable control, including natural disasters, pandemics, acts of government, war, terrorism, strikes, power failures, internet outages, or failure of third-party services.
21.6 Notices
Notices to freyai should be sent to [email protected]. Notices to you will be sent to the email address associated with your Account. Notices are deemed received when sent by email if no delivery failure notification is received.
21.7 Relationship of the parties
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and freyai. Neither party has the authority to bind or make commitments on behalf of the other.
21.8 Interpretation
Headings in these Terms are for convenience only and do not affect interpretation. Words importing the singular include the plural and vice versa. References to statutes include any amendments, re-enactments, or replacements.
